    PHP/mySQL script copyright

We have developed a PHP/mySQL script for a client. Client agrees that he can use/modify the script on his sites but cannot resell or distribute to others. We can re-use/modify/sell the script to non-competing clients.
The code uses multiple php files. Where in the code would you put copyright or Terms of Use? A comment in each file? The client doesn't want "Script by: xxx" to be on the displayed webpage.

You don't have to put a notice anywhere. Unless it's specifically a "work for hire", which it doesn't look to be, the author (you) holds the copyright. It sounds like you've already negotiated the terms under which you grant some rights to use the code to the client. That's all you need. A simple "Copyright (c) 2007 YourName" at the top of each code file would just be a good reminder.
